These Terms and Conditions govern your use of the Valence Supply website and your purchase and use of products and services offered by Valence Supply Co. ("Valence Supply," "Valence," "we," "us," or "our").

By accessing our website, placing an order, purchasing products, requesting technical assistance, participating in training, or otherwise using our services, you agree to these Terms and Conditions and to any policies incorporated into them by reference.

Please review these Terms before purchasing or using Valence Supply products.

1. Products and Orders

Valence Supply sells professional coatings, installation materials, equipment, tools, supplies, training, and related products to professional contractors, commercial customers, and consumers.

We reserve the right to refuse or cancel an order, limit quantities, correct pricing or product information errors, discontinue products, or restrict sales when reasonably necessary.

Product colors, photographs, descriptions, coverage rates, cure times, application information, and other specifications are provided as accurately as reasonably possible. Actual results may vary based on substrate, application, environmental conditions, installation methods, product age, color variation, and other circumstances.

Customers are responsible for reviewing applicable product instructions, technical data, safety information, and installation requirements before use.

2. Valence Supply Products and Third Party Products

Products sold by Valence Supply may include both Valence Supply branded products and products manufactured by independent third parties.

Valence Supply Products

Certain Valence Supply branded products may be eligible for a written product or project warranty. Any warranty coverage is governed exclusively by the applicable written Valence Supply warranty and its requirements, exclusions, limitations, remedies, registration requirements, and claim procedures.

Nothing in these Terms expands or modifies an applicable written Valence Supply warranty.

Third Party Products

Products manufactured by third parties and sold or distributed by Valence Supply are not covered by a Valence Supply product or project warranty.

Any warranty applicable to a third party product is limited to the warranty, if any, offered by the original manufacturer.

Valence Supply may, at its discretion, assist a customer in communicating a potential claim to a manufacturer. Such assistance does not mean Valence Supply assumes responsibility for the product or guarantees that the manufacturer will investigate, accept, repair, replace, reimburse, or otherwise resolve the claim.

The sale, recommendation, distribution, or technical discussion of a third party product does not create a separate Valence Supply warranty for that product.

3. Product Selection and Suitability

Customers are responsible for determining whether a product or system is appropriate for the intended project and conditions.

Valence Supply may provide recommendations based on information supplied by the customer or installer. Such recommendations necessarily rely upon the accuracy and completeness of that information.

Actual project conditions may include factors Valence Supply cannot observe or independently verify, including substrate composition and condition, moisture, contamination, previous coatings, surface profile, temperature, humidity, dew point, environmental exposure, application conditions, equipment, workmanship, and compatibility with other products.

A product recommendation does not constitute an independent inspection or determination by Valence Supply that a particular substrate, project, application, or installation is suitable.

4. Technical Support and Product Guidance

Valence Supply provides substantial technical support to customers and installers and encourages customers to contact us when questions arise.

Technical support may include product recommendations, installation information, troubleshooting assistance, training, written instructions, videos, telephone assistance, electronic communications, and other guidance.

Technical support is provided in good faith based upon the information available to Valence Supply at the time.

Technical assistance does not constitute jobsite supervision, engineering services, architectural services, inspection services, or control over an installation.

Valence Supply personnel generally cannot independently verify actual field conditions, substrate conditions, preparation, measurements, environmental conditions, mixing, application techniques, equipment, workmanship, or information provided by the customer or installer.

The person performing the installation remains responsible for evaluating actual project conditions, following applicable product instructions, determining suitability, properly preparing the substrate, and correctly applying the products.

Technical advice, troubleshooting, training, or recommendations do not constitute a guarantee of installation results and do not modify or expand any written Valence Supply warranty.

5. DIY and Owner Installed Projects

Valence Supply sells certain products directly to property owners and other customers who choose to perform their own installation.

Valence Supply provides technical information and reasonable assistance to DIY customers. However, Valence Supply does not supervise DIY installations and cannot control the conditions or workmanship involved.

DIY customers assume responsibility for the installation process, including, as applicable:

  • determining whether the product and system are appropriate for the project;

  • evaluating the substrate and existing conditions;

  • surface preparation and cleaning;

  • moisture and environmental conditions;

  • proper mixing and ratios;

  • application rate and film thickness;

  • timing and recoat windows;

  • use of appropriate tools and equipment;

  • compliance with product instructions and technical documentation; and

  • quality of installation and workmanship.

Technical assistance provided before, during, or after a DIY installation does not create a warranty of workmanship or guarantee the outcome of the installation.

Where an applicable Valence Supply product warranty exists, these provisions do not eliminate coverage for a qualifying defect in the Valence Supply product itself. Product responsibility and installation responsibility are separate.

Valence Supply may require DIY purchasers to acknowledge these responsibilities during checkout or before fulfillment of an order.

6. Professional Installers

Professional contractors and installers are responsible for their own workmanship and business operations.

Professional installers are responsible for evaluating project conditions, determining appropriate preparation and installation methods, following applicable product requirements, complying with applicable laws and industry standards, and performing work in a professional manner.

Training or technical support received from Valence Supply does not transfer responsibility for workmanship or project conditions to Valence Supply.

7. Trained Installers, Referrals, and Independent Contractors

Valence Supply may provide customers with names or contact information for contractors who have purchased products from Valence, attended training, or otherwise have experience with products sold by Valence.

Unless expressly stated otherwise in a separate written agreement, installers are independent businesses.

An installer is not an employee, agent, partner, franchisee, subcontractor, or legal representative of Valence Supply merely because the installer:

  • purchases Valence Supply products;

  • attends Valence Supply training;

  • is described as trained or experienced with Valence products;

  • appears on a contractor or installer list;

  • is introduced or referred to a customer by Valence Supply; or

  • receives technical assistance from Valence Supply.

Valence Supply does not control an independent installer's business practices, pricing, scheduling, employees, representations, workmanship, contractual obligations, or performance.

Customers are responsible for selecting and contracting with their installer.

8. Professional Project Warranties

Certain professionally installed projects using qualifying Valence Supply products may be eligible for a written Valence Supply warranty.

Eligibility and coverage are determined exclusively by the applicable written warranty documentation.

Where warranty registration is required, the applicable Valence Supply warranty form must be completed fully and accurately, including all required product lot numbers and project information, submitted within the time required by the applicable warranty, and otherwise comply with the requirements stated in the warranty documentation.

Submission of a warranty form does not expand the warranty beyond the coverage stated in the applicable written warranty.

Technical support, training, recommendations, sales communications, or other assistance from Valence Supply do not replace required warranty documentation or modify warranty requirements.

9. Missing, Incorrect, or Fraudulent Warranty Documentation

Valence Supply recognizes that circumstances may arise in which an installer fails to submit required warranty documentation, submits incomplete or incorrect documentation, ceases operations, refuses to address a project, or provides inaccurate information.

These circumstances do not automatically create or reinstate warranty coverage.

When appropriate, Valence Supply may conduct a discretionary Warranty Assistance Review to determine whether available records can independently establish the products purchased, applicable lot information, project circumstances, and nature of the reported failure.

Valence Supply may use its sales, manufacturing, lot tracking, customer, and other business records as part of that review.

A Warranty Assistance Review does not itself create warranty coverage or constitute an admission of product defect or liability.

Fraudulent, altered, intentionally inaccurate, or misleading warranty information may result in denial or cancellation of warranty coverage.

Valence Supply is not required to honor fraudulent documentation because a property owner was unaware of the installer's conduct. Valence Supply may nevertheless consider reasonable assistance to an affected property owner after reviewing the circumstances.

10. Installer Refusal, Closure, or Abandonment

The obligations of an installer and the obligations of Valence Supply are separate.

If an installer refuses or is unable to perform repair work, goes out of business, cannot be located, or otherwise fails to fulfill obligations owed to a property owner, Valence Supply does not automatically assume the installer's contractual or workmanship obligations.

Valence Supply may assist a property owner in locating another trained or experienced installation company.

If Valence Supply independently determines that a qualifying failure of a Valence Supply product occurred, replacement product may be provided in accordance with the applicable written warranty or, where no applicable warranty coverage exists, as a discretionary customer accommodation.

Unless expressly provided otherwise by an applicable written warranty or separately agreed to in writing by Valence Supply, the property owner remains responsible for labor, removal, preparation, installation, travel, contractor charges, and other costs associated with corrective work performed by another installer.

11. Warranty Claims and Investigation

Potential warranty claims involving Valence Supply branded products must be submitted in writing to warranty@valencesupply.com as soon as reasonably possible after the potential failure is discovered.

A claim should include, where applicable:

  • property owner's name and contact information;

  • project address;

  • installing contractor or company;

  • installation date;

  • approximate project size;

  • description of the reported problem and when it was first observed;

  • copy of the applicable Valence Supply warranty form;

  • Valence Supply order or invoice information, if available;

  • products and quantities used;

  • applicable product lot numbers;

  • photographs and video of the affected areas and overall project;

  • relevant surface preparation and installation information;

  • available moisture, temperature, humidity, or environmental testing information; and

  • communications or documentation from the installer concerning the reported problem.

Customers and installers must preserve reasonably available evidence related to the claim, including unused material, containers, labels, packaging, photographs, and relevant records, until Valence Supply has completed its initial review or advises that the materials may be discarded.

Except where reasonably necessary to protect persons or property from additional damage, the affected installation should not be removed, coated over, repaired, or otherwise materially altered before Valence Supply has been provided a reasonable opportunity to investigate.

Valence Supply may request additional records, photographs, samples, testing, interviews, or an onsite inspection when reasonably necessary to evaluate a claim.

Submission, review, investigation, or inspection of a claim does not constitute acceptance of warranty coverage or an admission that a product is defective.

Legacy Warranty Program Eligibility

The current standard Valence professional warranty program provides a 5 Year Limited Warranty for qualifying installations performed by eligible Valence Certified installation companies and properly registered in accordance with the applicable warranty requirements.

Certain longstanding Valence customers were grandfathered into the former Legacy 15 Year Limited Warranty Program when Valence transitioned its standard warranty program to five years.

Legacy status is contingent upon the installation company maintaining continuous active customer status with Valence.

An installation company that has no qualifying purchases from Valence for seven (7) consecutive months or more will be considered dormant for purposes of the Legacy 15 Year Limited Warranty Program.

Once an account reaches seven consecutive months of dormancy, its Legacy 15 Year Warranty eligibility terminates. If the company subsequently resumes purchasing from Valence, it will be considered a returning customer and will be eligible for the current warranty program then in effect, rather than the Legacy 15 Year Warranty Program.

Legacy eligibility does not automatically resume based upon a subsequent purchase, reactivation of an account, prior certification, prior participation in the Legacy program, or previous possession of Legacy 15 Year Warranty Registration Cards.

Valence determines Legacy Warranty Program eligibility based upon its applicable customer and transaction records.

Termination of an installer's Legacy eligibility does not reduce, cancel, or modify a Legacy 15 Year Limited Warranty that was properly registered and approved for a qualifying project while the installer was eligible for the Legacy program.


12. Goodwill and Customer Accommodations

Valence Supply may occasionally provide replacement material, credits, technical assistance, labor contributions, freight assistance, or other accommodations in circumstances that are not covered by a written warranty or other legal obligation.

Any such accommodation is voluntary unless otherwise agreed to in writing.

A goodwill accommodation does not constitute an admission of product defect or liability, does not modify an applicable warranty, and does not establish coverage or precedent for the same or similar circumstances in the future.

Past accommodations do not create an obligation for Valence Supply to provide the same accommodation on future claims.

13. Shipping, Shipping Protection, Delivery, and Risk of Loss

Valence Supply works to obtain practical and cost effective shipping rates for customers.

To avoid automatically increasing freight charges on every order, quoted shipping charges do not include additional declared value coverage, cargo insurance, or other optional shipping protection unless such protection is specifically identified on the quote, invoice, or order.

Customers who would like additional shipping protection must request it before the order is shipped. When available, Valence Supply will obtain the requested protection and include the applicable cost in the customer's freight charges.

Valence Supply may elect to obtain additional shipping protection for certain products or shipments at its own discretion. Such decisions do not create an obligation to obtain additional protection for other shipments.

Unless otherwise expressly agreed in writing, when Valence Supply arranges shipment by a third party carrier, risk of loss or damage in transit passes to the customer when conforming goods are properly tendered to and accepted by the carrier for shipment, to the extent permitted by applicable law.

If additional shipping protection was not requested or included, recovery for loss or freight damage may be limited to the amount recoverable from the carrier under its standard terms and liability limits.

Because Valence Supply is generally the shipper of record, Valence Supply will reasonably assist with and, where required, submit an applicable freight claim to the carrier. Customers must reasonably cooperate with the claim process.

Any carrier reimbursement received for a customer's covered loss will be applied or provided to the customer as appropriate.

Valence Supply may, in its discretion, provide replacement product, credits, freight assistance, or other accommodations for a shipping loss that is not fully covered by the carrier. Any such assistance is a voluntary customer service accommodation and does not create an obligation to provide the same or similar assistance for other shipments.

Freight Damage

Customers should inspect packages and freight before accepting delivery whenever reasonably possible.

For visibly damaged LTL freight, the customer should note the nature of the damage on the delivery receipt or bill of lading before signing.

Customers should:

  • photograph damaged packaging before opening it;

  • photograph affected products and the overall pallet or shipment;

  • retain damaged products and packaging;

  • retain the delivery receipt and transportation documents;

  • notify Valence Supply promptly after discovering damage; and

  • provide information reasonably requested to support the carrier claim.

Customers should not discard damaged goods or packaging until Valence Supply or the carrier confirms they may be discarded.

Failure to document visible freight damage or preserve evidence may limit carrier recovery and may affect Valence Supply's ability to obtain reimbursement.

Customers who prefer additional protection against loss or damage during transit should request shipping protection when placing an order or approving a freight quote.

Additional terms may be contained in the Valence Supply Shipping and Freight Policy, which is incorporated into these Terms.

14. Returns

Returns, exchanges, cancellations, restocking charges, and nonreturnable products are governed by the Valence Supply Return Policy in effect at the time of purchase.

Certain coatings, chemicals, special order products, opened products, clearance items, custom products, and other goods may not be returnable.

The Return Policy is incorporated into these Terms.

15. Product Storage, Shelf Life, and Handling

Customers are responsible for properly receiving, storing, handling, and using products after delivery.

Coatings and other chemical products may be affected by temperature, freezing, excessive heat, moisture, contamination, improper sealing, age, or other storage conditions.

Customers are responsible for reviewing product storage requirements and shelf life information before use.

Valence Supply is not responsible for product deterioration or failure caused by improper transportation after delivery, storage, handling, contamination, or use outside applicable product requirements.

16. Safety

Customers and installers are responsible for reviewing and following applicable labels, Safety Data Sheets, technical data, instructions, personal protective equipment requirements, workplace safety requirements, and applicable laws.

Products should be used only for their intended purposes and in accordance with applicable safety information.

Technical support provided by Valence Supply does not replace appropriate safety training or compliance with applicable workplace and environmental regulations.

17. Pricing and Payment

Prices are subject to change without notice unless otherwise agreed in writing.

Valence Supply reserves the right to correct typographical, pricing, product description, inventory, or other errors and to cancel or adjust an affected order when reasonably necessary.

Customers are responsible for applicable taxes, freight, accessorial charges, and other charges associated with an order unless otherwise agreed in writing.

Additional payment terms may apply to customers purchasing on approved credit.

18. Website and Intellectual Property

The Valence Supply website, online store, product information, photographs, graphics, videos, training materials, documents, and other content are owned by or licensed to Valence Supply and are protected by applicable intellectual property laws.

Customers may use website materials for legitimate personal or business purposes associated with evaluating, purchasing, or using products sold by Valence Supply.

Content may not be reproduced, sold, republished, or commercially exploited without authorization where such authorization is legally required.

19. Prohibited Use

Users may not use the website or Valence Supply services to engage in unlawful activity, interfere with website operation or security, transmit malicious software, collect information unlawfully, impersonate another person, submit fraudulent information, or violate intellectual property or other legal rights.

20. Limitation of Liability

SUBJECT TO LEGAL REVIEW

To the fullest extent permitted by applicable law, Valence Supply will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the purchase, installation, use, inability to use, or failure of products or services, including lost profits, lost business, loss of use, project delay, or similar consequential losses.

Except where a written Valence Supply warranty expressly provides otherwise or applicable law requires otherwise, Valence Supply is not responsible for costs arising from installation workmanship, substrate preparation, removal of coatings, corrective labor, contractor charges, downtime, travel, equipment rental, or installation of replacement material.

Nothing in these Terms limits liability that cannot lawfully be excluded or limited.

Any applicable written Valence Supply warranty may contain additional limitations and remedies and will govern warranty claims within its scope.

21. No Expansion of Warranties

Statements made in technical support, training, troubleshooting, sales discussions, emails, telephone conversations, social media, videos, demonstrations, or other communications are intended to provide information and assistance.

Except where applicable law provides otherwise, such communications do not create or expand a warranty beyond an applicable written Valence Supply warranty.

No employee, salesperson, trainer, distributor, installer, or other person is authorized to modify a written Valence Supply warranty except through an express written agreement authorized by Valence Supply.

22. Indemnification

SUBJECT TO LEGAL REVIEW

To the extent permitted by applicable law, commercial customers and professional installers agree to indemnify and hold Valence Supply harmless from third party claims arising from their own negligent or wrongful acts, installation workmanship, misrepresentations, violation of law, misuse of products, or breach of these Terms, except to the extent the claim results from conduct for which Valence Supply is legally responsible.

23. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

24. No Waiver

Failure by Valence Supply to enforce a provision of these Terms on one occasion does not waive the right to enforce that provision or another provision in the future.

Providing assistance, replacement product, credit, reimbursement, or another accommodation in one situation does not waive these Terms or establish an obligation to provide the same accommodation in another situation.

25. Changes to These Terms

Valence Supply may update these Terms periodically.

The version posted on our website at the time of a transaction will generally govern that transaction, subject to applicable law and any separate written agreement.

Material changes will apply prospectively unless otherwise permitted by law.

26. Governing Law and Disputes

ATTORNEY REVIEW REQUIRED

Valence Supply is organized in Texas and currently conducts operations and order fulfillment from Minnesota.

Governing law, venue, jurisdiction, and any dispute resolution requirements applicable to these Terms should be inserted following review by Valence Supply's legal counsel.

Nothing in these Terms is intended to waive rights or protections that applicable law does not permit the parties to waive.

27. Policies Incorporated by Reference

The following Valence Supply policies, as applicable to a transaction, are incorporated into these Terms:

  • Shipping and Freight Policy

  • Return Policy

  • applicable written Valence Supply product warranties

  • applicable professional project or system warranties

  • Privacy Policy

  • applicable written credit terms or separate customer agreements

If a specific written Valence Supply warranty conflicts with these general Terms concerning the scope, requirements, or remedies of that warranty, the specific written warranty will control for that warranty claim.

Shipping damage should be reported promptly through Valence Supply customer service.
